Capital Architecture Framework

Programme-Level Legal and Governance Architecture for Enforceable Capital Structures

Purpose & Boundary Notice

This Capital Architecture Framework sets out the programme-level legal and governance architecture through which capital structures are designed, governed, and maintained by World Lab Technologies, Inc.

This framework is maintained for institutional reference purposes only. It does not constitute an offer, solicitation, recommendation, investment advice, or a description of any specific financial instrument or transaction. No reliance should be placed on this framework for transactional purposes.

Framework Scope & Positioning

The Capital Architecture Framework operates at programme level and defines the structural, legal, and governance principles that apply consistently across all series designated under the programme.

The framework is designed to remain structurally stable without modification as series are designated, updated, or concluded, to provide continuity of legal logic, governance controls, and enforceability principles, and to support scalability through series-level designation rather than programme-level restructuring.

This framework does not define series-specific terms, pricing, performance characteristics, or allocation outcomes.

Architecture Design Principles

The capital architecture is built on the following core principles:

– Governance-first design, with decision boundaries embedded at framework level;
– Structural enforceability, prioritising clarity of rights and lifecycle accountability;
– Separation of framework and series, preserving programme integrity over time;
– Lifecycle anchoring, ensuring consistency from designation through status maintenance;
– Institutional comparability, supporting review across jurisdictions and counterparties.

Legal & Enforceability Logic

The programme-level capital architecture is structured to ensure that enforceability considerations are integrated at the design stage rather than addressed retroactively.

Legal logic is embedded within the framework through defined rights and governance boundaries, structured designation and status maintenance processes, and alignment between legal structure and lifecycle governance controls.

No representation is made regarding enforceability outcomes for any specific series or instrument.

Lifecycle Governance & Control

Governance of the capital architecture operates across the full lifecycle, including framework design and maintenance, series designation under defined governance conditions, ongoing monitoring and status maintenance, escalation and review where applicable, and controlled updates in accordance with governance discipline.

Series-level status information is recorded separately within the Certification Status Register, which functions as a factual reference registry rather than a promotional or transactional disclosure.

Relationship to Programme Frameworks

The Capital Architecture Framework operates within the broader programme architecture and should be read together with the Programme Overview, Sustainable Finance Framework, Certification Status Register, Governance & Oversight materials, and the Legal & Compliance Room.

This framework does not operate independently and is governed by the same programme-level legal, governance, and lifecycle principles.
