– do not reference sustainability frameworks or impact metrics
– are governed exclusively by transactional and creditor-rights documentation.
Category B – Capital for Transformation
(Sustainability & ESG)
Capital instruments classified as Capital for Transformation are used exclusively to finance or refinance:
– environmental or climate-aligned infrastructure
– sustainability-related capital expenditures
– operational transformation, decarbonisation, or resilience initiatives
Such instruments:
– may be designated as green, climate-aligned, or sustainability-linked
– operate within defined use-of-proceeds frameworks
– do not finance ownership, acquisition, or control transactions.
All Capital for Transformation instruments operate within the Programme Sustainable Finance Framework.
Structural Separation
To preserve governance clarity and institutional confidence:
– proceeds from Ownership and Transformation instruments are not commingled
– ESG or sustainability designations apply only to Transformation instruments
– acquisition or ownership transactions are not associated with ESG-designated capital
