Green Performance Notes (GPN)
Green Performance Notes (“GPN”) are an institutional capital instrument developed as part of the WLT Capital Architecture to support governance-based capital formation, institutional capital structuring, and long-term institutional capital alignment.
The instrument integrates governance, capital integrity, performance methodologies, structured documentation, sustainability considerations, and institutional oversight into a unified framework designed to support disciplined capital formation and capital deployment while promoting long-term value creation.
Rather than operating as a standalone financial product, Green Performance Notes are intended to function as a universal institutional capital instrument capable of supporting a broad range of strategically structured capital transactions conducted within defined governance, legal, and documentation frameworks.
This page provides an overview of the Green Performance Notes architecture together with the principal governance documentation supporting its institutional implementation.
Publication of this material is provided solely for institutional information purposes and does not constitute an offer, solicitation, investment recommendation, financing commitment, or a commitment to issue any financial instrument.
PURPOSE
Green Performance Notes have been developed to complement conventional financing arrangements through governance-based capital structures.
Their purpose is to facilitate long-term alignment between capital providers, asset owners, and other institutional stakeholders while supporting disciplined capital formation within the WLT Capital Architecture.
By integrating governance, capital integrity, structured documentation, performance methodologies, and sustainability considerations into a unified institutional framework, Green Performance Notes are intended to strengthen institutional capital structuring across multiple transaction environments.
Accordingly, Green Performance Notes form an institutional component of the broader WLT Capital Architecture developed by World Lab Technologies.
POSITION WITHIN THE WLT CAPITAL ARCHITECTURE
Green Performance Notes form part of the WLT Capital Architecture.
They operate alongside programme-level governance frameworks, sustainable finance instruments, and other institutional capital structures while remaining independent of any individual asset class, project, sector, or transaction.
Their institutional role is to support governance-based capital transactions through defined governance processes, transaction-specific documentation, and institutionally governed execution frameworks.
Accordingly, Green Performance Notes complement the broader WLT Capital Architecture rather than operate as an independent financing platform. Their institutional position should therefore be considered in the context of the WLT Capital System and the Capital Architecture Framework.
INSTRUMENT CLASSIFICATION
Green Performance Notes are designed as a flexible institutional capital instrument capable of incorporating governance, performance, sustainability-related, and transaction-specific structural characteristics where appropriate.
The classification of any issuance or transaction is determined exclusively by the definitive transaction documentation, the governing legal framework, applicable regulatory requirements, and the agreed transaction structure.
CAPITAL ARCHITECTURE PRINCIPLES
The Green Performance Notes architecture operates in accordance with the following institutional principles:
- Governance precedes execution.
- Structure precedes capital deployment.
- Documentation precedes transaction implementation.
- Performance operates within governance.
- Capital integrity supports long-term institutional confidence.
These principles establish the governance foundation upon which Green Performance Notes operate throughout their institutional lifecycle.
GOVERNANCE FRAMEWORK
Green Performance Notes operate within the institutional governance architecture established by World Lab Technologies.
The governance architecture establishes institutional control processes, documentation standards, institutional oversight, and transaction governance without creating transaction obligations, investment commitments, issuance authority, or investor rights.
Where applicable, the governance architecture includes:
- eligibility methodologies;
- governance review procedures;
- documentation standards;
- institutional oversight;
- transaction controls;
- performance assessment procedures;
- controlled documentation management; and
- independent governance verification, where applicable.
Each transaction remains subject to its own approval process, definitive transaction documentation, governing law, applicable regulatory requirements, and the commercial terms agreed between the relevant parties.
Additional information regarding the governance architecture is provided within the Governance & Oversight section.
PERFORMANCE FRAMEWORK
Where applicable to a transaction, Green Performance Notes incorporate predefined Key Performance Indicators (KPIs), observation periods, verification methodologies, performance assessment mechanisms, and other transaction-specific performance provisions.
The applicable methodology is established exclusively through the definitive transaction documentation governing the relevant transaction.
All performance provisions remain transaction-specific and arise solely from the definitive transaction documentation.
PERFORMANCE VERIFICATION
Performance assessment may, where appropriate, be supported by independent verification or other agreed assessment procedures.
Any independent verification remains limited to the agreed scope of the relevant engagement and does not arise automatically from the existence of Green Performance Notes.
Verification arrangements depend upon the definitive transaction documentation, transaction structure, the applicable verification scope, and the requirements agreed by the relevant parties.
Where applicable, programme-level verification status is maintained within the Certification Status Register.
RELATIONSHIP TO THE WLT GREEN FINANCE FRAMEWORK
Green Performance Notes operate alongside the WLT Green Finance Framework within their respective governance scopes.
They complement, but do not replace, programme-level governance arrangements, eligibility methodologies, sustainable finance procedures, or transaction-specific documentation.
Each framework operates within its own defined governance scope while contributing to the broader WLT Capital Architecture. Additional information regarding the programme-level sustainable finance governance supporting Green Performance Notes is provided within the Sustainable Finance Framework.
