PLATFORM POSITION

The Strategic Asset Ownership & Control Platform governs strategic asset acquisitions through:

  • strategic asset evaluation and acquisition structuring;
  • ownership and holding architecture;
  • economic, governance, and control rights;
  • asset-level due diligence and valuation;
  • legal and enforceability analysis;
  • corporate approvals and transaction documentation; and
  • acquisition implementation and continuing oversight.

The Platform governs the progression of strategic asset acquisitions through structural admission, allocation readiness, acquisition structuring, asset-level due diligence, corporate approval, legal implementation, and continuing oversight.

It establishes the structural, governance, and approval conditions under which transaction execution proceeds.

Each approved acquisition, ownership, and control arrangement is implemented through governing transaction documentation, required approvals, and execution and closing formalities. Legal effect arises under governing law.

WLT OWNERSHIP STRATEGY

WLT applies the Platform to strategic assets aligned with its corporate and programme objectives.

The Platform governs WLT’s corporate and strategic asset activities.

It does not provide investment management, acquisition advisory, asset management, or transaction intermediation services to third parties.

WLT acquires and holds strategic assets directly or through a WLT-controlled entity under the Platform’s ownership and control architecture and the corporate, financing, legal, and transaction arrangements governing each acquisition.

The Platform establishes and maintains the common structural and governance environment for acquisition arrangements, ownership and economic rights, decision authority, control arrangements, legal positioning, and continuing oversight.

WLT exercises authority over the acquisition, financing, holding, control, and disposal of strategic assets through defined corporate approval, due diligence, valuation, financing, documentation, execution, and governance processes.

CORE PRINCIPLE

Strategic asset ownership and control require defined structural, governance, legal, evidentiary, and documentation conditions.

The Platform establishes the architecture governing ownership arrangements, control rights, decision authority, legal positioning, and continuing oversight.

Transaction execution implements approved ownership and control arrangements.

OWNERSHIP & CONTROL CONDITIONS

Strategic asset acquisition, ownership, and control require:

  • confirmed structural admission;
  • completion of the allocation-readiness process applicable to the financing structure;
  • completion of asset-level due diligence and valuation;
  • defined ownership and control architecture;
  • identification of economic, governance, and control rights;
  • completion of legal and transaction documentation;
  • satisfaction of corporate authority and approval requirements;
  • satisfaction of financing and closing conditions;
  • evidentiary sufficiency and documentation completeness; and
  • legal and enforceability analysis.

Transactions that do not satisfy the governing requirements are denied approval and do not proceed to acquisition, ownership, or control through the Platform.

OWNERSHIP & CONTROL ARCHITECTURE

The Platform establishes the structural basis for:

  • acquisition and holding structures;
  • ownership arrangements;
  • economic, governance, and control rights;
  • decision authority;
  • asset-level governance and continuing oversight;
  • protection and continuity mechanisms; and
  • supporting evidentiary and documentation requirements.

The Platform translates approved acquisition structures into definitive ownership, governance, and control arrangements.

These arrangements are implemented through governing transaction documentation, required approvals, and execution and closing formalities.

LEGAL POSITIONING & ENFORCEABILITY

The Platform incorporates legal and enforceability requirements into the ownership and control architecture from the outset.

The Platform governs:

  • legal form and ownership structure;
  • acquisition and holding-entity structure;
  • authority and approval pathways;
  • contractual rights and obligations;
  • acquisition, transfer, closing, registration, and perfection requirements;
  • security interests and priority arrangements;
  • governance and control provisions; and
  • requirements for independent legal and specialist review.

Legal rights, ownership interests, control rights, economic rights, security interests, priority arrangements, and other legal entitlements arise through governing transaction documentation, required approvals, execution and closing formalities, applicable perfection requirements, and governing law.

GOVERNANCE & EVIDENCE

The Platform governs acquisition, ownership, and control through defined decision authority, evidentiary standards, and approval controls.

The Platform establishes:

  • documented decision and approval authority;
  • acquisition review, due diligence, valuation, and approval requirements;
  •  defined review and escalation pathways;
  • traceability from governing requirements to supporting evidence, determinations, and approvals;
  • documentation and evidence integrity;
  • linkage between structural approval and transaction implementation; and
  • readiness for institutional, legal, and independent external review.

OWNERSHIP & CONTROL OUTCOME

Satisfaction of the governing requirements authorises WLT or the applicable WLT-controlled entity to execute the approved strategic asset acquisition.

Completion of the governing documentation, required approvals, execution and closing formalities, and applicable perfection requirements establishes the ownership interests, economic rights, control rights, security interests, and other legal entitlements recognised under governing law.

INSTITUTIONAL ACCESS

The governing authority controls access to acquisition, ownership, control, governance, legal, and supporting evidentiary materials through defined review scopes and access controls.

Authorised institutional and professional parties submit access requests through the Institutional Access Room.
