Capital Architecture Framework
The Capital Architecture Framework establishes the structural governance conditions under which capital structures are defined, assessed, documented, and admitted within the WLT Capital System before transaction execution.
Structure precedes admission
Eligibility governs qualification
Evidence supports determinations
Governance controls progression
Admission precedes allocation readiness
POSITION
The Capital Architecture Framework defines the structural perimeter within which capital structuring and admission occur.
It establishes the requirements governing:
- capital configuration;
- eligibility and risk assessment;
- evidentiary sufficiency;
- governance review and approval;
- structural admissibility; and
- progression to institutional allocation readiness.
The Framework precedes transaction execution and remains distinct from transaction-specific execution mechanics.
ADMISSION LOGIC
Structural admission requires:
- a defined structural configuration;
- compliance with governing Programme requirements;
- satisfaction of governing eligibility and risk conditions;
- documented supporting evidence; and
- governance review and approval.
The Framework governs structural admissibility. Admission under the Framework authorises progression within the WLT Capital System.
GOVERNANCE CONDITIONS
Capital structuring operates within defined governance conditions.
These include:
- decision and approval authority;
- defined review and escalation pathways;
- documented determination and approval requirements;
- resolution of unresolved or exceptional matters; and
- traceable governance actions.
Governance applies before execution and continues across the lifecycle stages governed by the Framework.
EVIDENCE & TRACEABILITY
Documented evidence is an integral condition of structural determination and admission.
The evidentiary architecture establishes:
- traceability from structural requirements to supporting evidence;
- reviewability of material determinations;
- documentation integrity and controlled record custody;
- linkage between evidence, determination, and approval; and
- readiness for independent external review.
Material structural determinations remain traceable to their supporting evidence and governance approvals.
Evidence establishes the documented basis for structural admission, governance determinations, and approval.
ALLOCATABILITY TRANSITION
Structural admission establishes the basis for progression toward institutional allocation readiness.
Admitted capital structures advance through the allocation-readiness and operating processes of the WLT Capital System.
Structural admissibility does not itself constitute an investment decision, capital-allocation decision, or commitment of capital.
→ Institutional Allocatability Framework
SYSTEM ROLE
Within the WLT Capital System, the Framework governs the transition from structural definition and assessment to admission and controlled progression.
It operates in conjunction with:
→ Capital Structuring Layer
→ Institutional Allocatability Framework
→ Institutional Operating Model
→ Governance & Oversight
ENFORCEABILITY
Legal and enforceability considerations are incorporated into the structural architecture from the outset in accordance with the requirements governing each capital structure, jurisdiction, and transaction context.
The Framework addresses:
- legal and documentation requirements;
- authority and approval pathways;
- structural and documentation consistency;
- ownership arrangements, security interests, and priority considerations; and
- matters requiring independent legal or specialist review.
The Framework does not create legal rights, establish enforceability, or replace transaction-specific legal documentation or independent legal analysis.
→ Enforceability & Legal Architecture
CONTINUITY
The Framework provides a consistent programme-level structural environment across Programme Series and lifecycle stages.
The Framework maintains common structural, governance, evidence, and review requirements, while Programme-specific, Series-specific, transaction-specific, legal, regulatory, and market requirements govern their respective contexts.
Material changes are incorporated through controlled review, approval, documentation, and version-control processes.
INSTITUTIONAL ACCESS
Access to controlled structural documentation, supporting evidence, and review materials is governed by an approved review scope and applicable access controls.
Authorised institutional and professional parties submit access requests through the Institutional Access Room.
