The Capital Structuring Layer governs structural configuration and admission within the WLT Capital System.

Within the Layer, capital structures:

• are configured under defined structural requirements;
• undergo eligibility and risk assessment;
• are supported by documented evidence;
• undergo governance review and approval; and
• receive a structural admissibility determination.

The Layer precedes transaction execution and remains distinct from transaction-specific execution mechanics.

ADMISSION LOGIC

Structural admission requires:

– a defined structural configuration;
– satisfaction of governing eligibility and risk requirements;
– confirmation of evidentiary sufficiency and documentation completeness; and
– governance determination and approval.

Capital structures that do not satisfy the admission requirements are not admitted and do not progress within the WLT Capital System.

STRUCTURAL SEQUENCE

Capital structures progress through a defined structural sequence:

1. Programme alignment and structural configuration
2. Eligibility and risk assessment
3. Asset or activity qualification under the governing Programme requirements
4. Evidence and documentation review
5. Governance determination and approval
6. Structural admission and authorisation for further progression

Progression through each stage requires satisfaction of the requirements governing that stage.

EVIDENCE & DETERMINATION

The evidentiary process establishes:

• traceability from governing requirements to supporting evidence, determinations, and approvals;
• reviewability of material determinations;
• documentation integrity, controlled record custody, and evidence retention; and
• readiness for independent external review.

Evidence establishes the documented basis for structural admission, governance determinations, and approval.

GOVERNANCE

The Capital Structuring Layer operates within defined governance conditions.

Governance establishes:

• decision and approval authority;

• documented determination and approval requirements;
• resolution of unresolved or exceptional matters;

Structural determinations are made under the requirements governing the relevant Programme Series and lifecycle stage.
