POSITION
The Institutional Flow defines the operational sequence governing capital progression within the WLT Capital System.
It connects programme configuration, assessment, governance determination, structural admission, institutional allocation readiness, transaction-specific execution readiness, and continuing lifecycle oversight within a unified progression architecture.
Each stage operates within the programme-level controls governing the relevant capital structure, Programme Series, jurisdiction, and lifecycle context.
Capital structures progress only when the requirements governing each stage have been satisfied.
CORE PRINCIPLE
A governed sequence determines how capital structures progress through the WLT Capital System.
Each stage establishes the requirements and authority governing progression to the next.
Failure to satisfy the requirements governing a stage prevents further progression.
PROCESS SEQUENCE
1. PROGRAMME CONFIGURATION
The capital structure is configured under the applicable Programme parameters, Series scope, sector requirements, structural conditions, and governing documentation.
Programme configuration establishes the structural perimeter governing subsequent assessment and progression.
2. ELIGIBILITY ASSESSMENT
The governing sustainability eligibility criteria, technical requirements, sector methodologies, thresholds, classification requirements, and boundary conditions are applied to the relevant capital structure, project, asset, activity, or expenditure.
Eligibility assessment determines whether the applicable qualification requirements have been satisfied.
3. RISK ASSESSMENT
Applicable environmental, social, governance, structural, and other material risks are identified, assessed, accepted, mitigated, or escalated under the governing risk-management requirements.
Assets and activities that fail the governing risk requirements are excluded from further progression.
4. EVIDENCE & DOCUMENTATION
Material eligibility, risk, structural, and governance determinations are supported by controlled evidence and documentation.
The evidentiary process establishes traceability, reviewability, documentation integrity, and direct linkage between governing requirements, evidence, determinations, and approvals.
5. GOVERNANCE REVIEW & APPROVAL
Material determinations undergo formal governance review and approval.
Governance review determines whether the governing eligibility, risk, evidence, documentation, and structural requirements have been satisfied.
Governance approval authorises progression to structural admission.
6. STRUCTURAL ADMISSION
Capital structures that satisfy the governing requirements receive structural admission within the WLT Capital System.
Structural admission records satisfaction of the requirements governing that stage and authorises entry into the institutional allocation-readiness process.
Capital structures that fail to satisfy the admission requirements are denied structural admission and do not progress.
7. INSTITUTIONAL ALLOCATION READINESS
Structurally admitted capital structures undergo allocation-readiness review under the governing eligibility, risk, evidence, documentation, governance, legal, control, and institutional-review requirements.
Capital structures that satisfy these requirements receive an affirmative institutional allocation-readiness determination and enter the institutional allocation process.
The relevant institutional participant retains final authority for investment and capital-allocation decisions.

8. TRANSACTION-SPECIFIC EXECUTION READINESS
Capital structures that receive an affirmative institutional allocation-readiness determination advance to transaction-specific execution-readiness review.
Satisfaction of the governing legal, documentation, approval, external-review, financing, and transaction requirements establishes transaction-specific execution readiness within the WLT Capital System.
The relevant authorised transaction parties execute each transaction through governing transaction documentation, required approvals, and execution formalities in accordance with applicable legal and regulatory requirements.
9. CONTINUING LIFECYCLE OVERSIGHT
Following transaction execution, the applicable capital structure, Programme Series, allocation status, evidence, reporting obligations, external-review requirements, and material changes remain subject to continuing governance and oversight.
Lifecycle oversight maintains compliance, evidentiary continuity, reporting integrity, status control, and traceability throughout the applicable programme and transaction lifecycle.
CONTROL CONDITIONS
Progression through the Institutional Flow is governed by defined control conditions.
These conditions include:
- completion of the requirements governing each stage;
- documented review and approval;
- evidence and documentation integrity;
- defined decision and approval authority;
- traceable determinations;
- controlled escalation and exception processes;
- preservation of applicable Programme and Series requirements; and
- lifecycle status maintenance.
Applicable stages are not bypassed.
Any exception to a stage requirement requires documented review, formal approval, and resolution through the governing escalation process before progression continues.
EVIDENCE INTEGRATION
Evidence is integrated throughout the Institutional Flow.
The evidentiary architecture establishes:
- traceability across the progression sequence;
- documentation of eligibility, risk, structural, and governance determinations;
- linkage between evidence, review, determination, and approval;
- reviewability of structural admission and allocation-readiness determinations;
- controlled record integrity and maintenance; and
- readiness for independent external review.

It establishes:
